Al Caffodio-District III Constitution

ARTICLE I.  NAME

This administration shall be known as the Al Caffodio-District III Soccer Administration, Incorporated hereinafter refereed to as the "District Administration".

ARTICLE II.  PURPOSE

The purpose of this District Administration shall be to develop, promote and administer the game of soccer among youth, under 19 years of age, within Cal North-District III. It shall be the interest of this District Administration to promote mental and physical fitness, develop self and community pride and to provide young people, under 19 years of age, an opportunity to learn and play organized soccer at various levels of skill and competitive spirit.

ARTICLE III.  COLORS

The representative colors of this District Administration shall be Yellow, Green and Black.

ARTICLE IV.  AREA

The boundaries of this District Administration shall be that area as defined by the California Youth Soccer Association.

ARTICLE V.  AFFILIATION

The Al Caffodio-District III Youth Soccer Administration shall be an affiliate of the California Youth Soccer Association and will comply with their rules and procedures where applicable.

ARTICLE VI.  MEMBERSHIP

This District Administration shall consist of representation from the recognized Cal North affiliated Leagues in District III.

ARTICLE VII.  ADMINISTRATION

Section 1:

The Al Caffodio-District III Youth Soccer Administration shall be governed by its Constitution, By-Laws, Rules and Procedures except when these are superseded by the Association to which this District Administration is affiliated.

Section 2:

The administrating authority of the District Administration, whose powers shall be delegated in the By-Laws, shall be vested with the administration body of this District Administration.

Section 3:

The administrative body, hereinafter to be known as the "Executive Board", shall be composed of one (1) member from each of the recognized Cal North affiliated Leagues and the Cal North-District Ill Commissioner, who shall act as Chairman of the Board and be considered as the President of the Corporation. Each member shall have one (1) vote, and the Chairman shall vote only to break a tie.

ARTICLE VIII.  OPERATION

The Executive Board shall appoint, prior to the start of each season, a staff who shall be responsible for the internal operations of the District Administration: Shall appoint a Deputy District Commissioner who shall act as chairman in the Commissioner’s absence, and shall be know as the Executive Secretary of the Corporation; and shall appoint Standing Committees who shall be responsible to assigned functions of the District Administration, and the District Leagues.

ARTICLE IX.  MEETINGS

The Executive Board shall meet at least once a month to conduct regular business with Staff and Standing Committees as necessary. The Executive Board shall also provide for an Annual General Meeting (AGM).

ARTICLE X.  ANNUAL GENERAL MEETING

Section 1:

Towards the end of each seasonal year, the Executive Board shall call for an Annual General Meeting of the membership, to be held no later that June 30 of said seasonal year. Notification to all members shall be made at least thirty (30) days prior to the Annual General Meeting.

Section 2:

The order of business at the Annual General Meeting shall be as follows:

  1. Call to order
  2. Roll call
  3. Minutes of previous AGM
  4. Acceptance of Minutes
  5.  
  6. Reports
    1. District Commissioner
    2. Treasurer
    3. Registrar
    4. League Manager
    5. Standing Committees
  7. Unfinished Business
  8. Presentation of Cal North proposals
  9. Proposals for the change of the District Administration Constitution, By-Laws, Rules and Procedures
  10. New Business
  11. Good of the Game
  12. Adjournment
     

Section 3:

Voting shall be granted to those teams which have been registered with Cal North during the current season. Each registered team and each member of the Executive Board shall be entitled to one (1) vote. Only members present may vote. However, voting privileges may be assigned, in writing, to an alternate. Only those members of record, in good standing, shall be entitled to voting privileges.

ARTICLE XI. AMENDMENTS

Section 1:

Amendments to the Constitution or By-Laws of this District Administration shall be made at the Annual General Meeting of the Membership, except in such cases as specified in the By-Laws of this District Administration.

Section 2:

Amendments to this Constitution or By-Laws must be presented to the Executive Board, in writing, sixty (60) days prior to the Annual General Meeting.

Section 3:

An amendment shall be deemed adopted by an affirmative vote of two-thirds (2/3) of the membership present at the Annual General Meeting.
